Taminco, the world's largest pure play producer of alkylamines and alkylamine derivatives, today announced that, in connection with its proposed acquisition by private equity funds affiliated with Apollo Global Management (NYSE:APO) (together with its subsidiaries "Apollo"), Taminco Global Chemical Corporation intends to offer $452 million in aggregate principal amount of Second-Priority Senior Secured Notes due 2020 in a private placement. The notes offering is part of the financing for, and is conditioned upon, the consummation of the proposed acquisition. The net proceeds from the notes offering are intended to be used to provide a portion of the funds necessary to repay existing indebtedness, fund the purchase price for the acquisition and to pay related fees and expenses. The notes being offered in the notes offering will not be registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. The notes are being offered only to qualified institutional buyers under Rule 144A and outside the United States in compliance with Regulation S under the Securities Act.
